Resolution/Document Body

WHEREAS, Tompkins County (“County”) has committed funds for the purpose of the purchase of the Tompkins Trust Company building located at 110 North Tioga Street, Ithaca, New York, on the Ithaca Commons, and is engaged in negotiation of the purchase agreement with the Tompkins Trust Company, and

 

WHEREAS, the County has entered into extensive discussions with several community organizations regarding the formation of a coalition of not-for-profit groups with the common purpose of documenting, supporting, and celebrating our common history and culture to be housed in a common location in the County envisioned as the Tompkins Center for History and Culture, and

 

WHEREAS, it is the intent of the parties to use the Tompkins Trust Company building as the home of the Tompkins Center for History and Culture, and

 

WHEREAS, the History Center in Tompkins County, Tompkins County Chamber of Commerce, Inc., Wharton Studio Museum, the Center for Transformative Action d/b/a the Dorothy Cotton Institute, the Center for Transformative Action d/b/a the Sustainability Center, Ithaca Aviation Heritage Foundation, Community Arts Partnership, Historic Ithaca, and the Discovery Trail, have all expressed a desire to participate, and

 

WHEREAS, all of the parties wish to define their respective rights and responsibilities, and their commitment to participation in the Tompkins Center for History and Culture through a Memorandum of Understanding that describes the rental and governance commitments for the participants, now therefore be it

 

RESOLVED, on recommendation of the Government Operations Committee, That the County Administrator shall be authorized to execute the Memorandum of Understanding and to obtain executed counterparts from all participants.

Mr. Rich explained the Memorandum of Understanding (MOU) is a guidance document and is not legally binding. It is the lease agreements that are legally binding at the time they are signed by the tenants. The purpose of the MOU is to define the expectations and responsibilities of the not-for-profit agencies and organizations that will be renting space in the Tompkins Center for History and Culture. The MOU outlines the rental and governance commitments for the tenants.

In response to Ms. Chock, Mr. John said the County Attorney has reviewed the MOU and is in agreement with it.

Mr. Travis concurred that the MOU is a letter of intent and sets the direction for the not-for-profits.

Mr. John said this Committee will have to discuss the role of the County’s Historian, who is a County employee, as there is office space available in the building for this position.

Ms. Chock thanked everyone who worked on this project.

Mr. John spoke of the Memorandum of Understanding (MOU) and said it is not a legally binding document; it’s a guidance document. The MOU sets commitments for all parties including the County and not-for-profits. He reported on some of the grant funding received to date from organizations as part of the capital campaign and said it has been a good response from the community.

In response to Mrs. McBean-Clairborne’s question about contact information for interested tenants, Mr. John said the County Administrator would be the contact person for anyone interested in renting space in the building.

Ms. Chock and Mr. Lane thanked all those involved in the project.
