Resolution/Document Body

WHEREAS, on October 9, 1991, the County entered into a Regional Transit Facility Construction and Operation Agreement to establish terms for ownership, construction, and operation of the Tompkins Consolidated Area Transit (TCAT) facility, and

 

WHEREAS, in consideration of the County’s financial contribution to the project, the City agreed to convey one-half of its right, title, and interest in the facility and defined surrounding lands, and

 

WHEREAS, the transfer has not taken place but the parties agree to protect the County’s interest through a memorandum of understanding which provides that the County will receive half of the proceeds of any future sale or income derived from the property, now therefore be it 

 

RESOLVED, on recommendation of the Planning, Development, and Environmental Quality Committee, That the County Administrator is hereby authorized to enter into a memorandum of understanding with the City of Ithaca securing the County’s interest in future proceeds derived from the facility and accompanying lands.

Mr. Wood provided a brief history of the current Tompkins Consolidated Area Transit (TCAT) facility in the City of Ithaca. The City was listed as the current owner and this resolution pertains to establishing an agreement with the City and to be on file in the County Clerk’s Office that would protect the County's financial interests if the parcel is sold.

Ms. Dawson asked if this keeps the County out of the chain-of-title. Mr. Wood stated it does.

Mr. Mengel spoke of the County ensuring any Federal interests or claims are protected. Mr. Wood stated this agreement should not have any effect on Federal interests and their interests would be involved once the property is sold and TCAT would be moving.

This agreement preserves the County’s financial interest in the facility and property.
